Terms & Conditions
1. The Customer understands and agrees that the successful and timely delivery of the project is dependent on its active and prompt participation in the design and development project lifecycle.
2. Upon acceptance of these terms and the scope of Work, Customer will make payment in accordance with the Payment terms agreed to and Estimate provided at the time of briefing.
3. Should Customer seek to cancel the project after project confirmation, Customer will be liable to pay 50% of the contracted fee to Renée Gee (“the Consultant”).
4. The fees outlined in this document cover the scope of work as detailed. Any additional services requested by the Customer outside the scope of these services, will incur additional charge. Any 3rd party licence rights may incur additional charges, these (if any) will be advised to the Customer as soon as they become known.
5. Unless otherwise specified in this document, original photography or footage is not included. Use of stock photography, if required and approved by the Customer, may incur an additional cost.
6. Any and all revision requests or project additions/alterations must be furnished to the Consultant in writing. Revisions may be discussed verbally, however no work will be done until the Client submits their revisions in writing, preferably by email. Revisions are limited up to three rounds of changes and revisions .
7. Unless otherwise specified in this document, the Customer will supply all relevant content (text and images and footage) in digital format (e.g. Image Files, Word documents, as email. attachments or on CD/DVD). Any retyping required as a result of content not being supplied in digital format will attract additional charges. Further any data entry required for the population of databases (e.g. products, news, events, etc.) is the sole responsibility of the Customer.
8. Customer agrees that all content supplied by the Customer for the purpose of design or publishing is free of any and all copyright or other intellectual property rights restrictions. Where intellectual property right restrictions are applicable, these must be made clear at the time they are supplied. Customer indemnifies the Consultant against any 3rd party claim in respect of any breach of any intellectual property rights in respect to material provided by it.
9. The Consultant will retain ownership in all Intellectual Property Rights other than any Intellectual Property Rights, which are licensed by third parties to enable the Consultant to provide the service(s). This includes all frameworks, code, design used in the development and operation of the Project.
10. The Consultant grants to the Customer (upon full payment) a perpetual, royalty free license to use the Deliverables that form part of the Project, including the right to modify or enhance any delivered design and/or code. Such license shall not include the right to on license or assign any rights in the Deliverable including the framework, code or design, except where such assignment is part of a Customers transfer of its business and assets. Where stock materials (for example, photographs, video footage, audio works etc) are used from commercial or other libraries, the Consultant will obtain a license for the Customer to use those materials.
11. Where applicable, the Consultant will provide the Customer with all necessary artwork in order to print any work. This art work will be supplied in one of the following formats as requested - High resolution PDF, EPS, Illustrator AI, TIFF.
12. Consultant provides a 3 month warranty from the date of acceptance for any defect in workmanship on its behalf. Consultant provides no warranty in respect to any changes, which may have occurred by any party other than a representative or associate of the Consultant. Any work to correct Customer or 3rd party changes will be charged at our standard hourly rates.
13. Unless otherwise agreed, Consultant will build your web site with a high degree of ‘search engine friendliness’ in mind. However, Consultant makes no guarantee or promises whatsoever about the position your site will appear (if at all), for any search word or phrase, in any search engine, at any time after the ‘live’ date. Should you require a search engine reporting, optimisation and promotion service, this may be provided as a separate project.
14. For websites not hosted by the Consultant, the Consultant makes no guarantee on the ease or effectiveness of transferring a website to another server.
15. Customer is responsible to make a back up of any artwork and/or data used in the development of the project. Consultant will not be responsible for any loss of Data.
16. Customer is responsible to ensure that all content is correct, and any and all content is part of the final Customer approval. The consultant takes no responsibility for any errors in content that may appear.
17. Customer is required to approve the Project prior to it going live. Customer agrees to provide sign off or written notification of any changes that are required within 5 Business Days of delivery of the project for final approval purposes.
18. Unless specifically stated to the contrary, the Consultant may showcase or promote the Customer’s completed product or service to others as an example of work.
19. These terms and the scope of work, contain the entire agreement between the Customer and the Consultant.
